In the event of any conflict or discrepancy between the English translation and the original German text, the German version shall prevail and be legally binding.

Any legal disputes arising in connection with these Terms and Conditions shall be governed by the laws of Switzerland, with the exclusive jurisdiction being the courts of Zug. The court proceedings and all legal correspondence will be conducted in German.




General Terms and Conditions (AGB) — Studio-SB GmbH



1. Scope, Sales Channels & Operating Framework

Studio-SB does not operate an automated online store, digital shopping carts, or remote e-commerce checkout systems. All functional art pieces are acquired through two distinct pathways:

  • Available Pieces: The purchase of existing, completed studio works.
  • Collaborative Efforts: Joint artistic explorations resulting in custom, one-of-a-kind functional art pieces executed under the studio’s absolute design freedom.

By initiating a purchase or entering into a design collaboration, you fully accept these Terms and Conditions.



2. Contract Conclusion & Billing Requirements

  • Available Pieces: A binding contract is concluded the instant full payment changes hands. If a buyer views an item in the studio, states an immediate intent to buy, and hands over cash or completes a direct payment, ownership transfers immediately. However, for proper accounting, Swiss tax compliance, and to validate the material warranty, the buyer must provide their formal billing address and contact details. A studio invoice will be issued upon receipt of these details.
  • Collaborative Projects: For custom works built from scratch, a contract is only initiated after the mandatory on-site consultation is completed and the upfront deposit has cleared.



3. Mandatory On-Site Consultation (Collaborative Projects)

For all collaborative efforts and custom pieces, a physical, face-to-face initial consultation at the workshop (Sihlbruggstrasse 3a, 6340 Baar, Switzerland) is strictly mandatory. This session requires a minimum commitment of one full hour. Because the final structural integrity of the object depends entirely on physical body parameters, lifestyle evaluation, and the physical selection of raw material weights, this foundational step cannot be bypassed, digitized, or handled remotely.



4. Non-Refundable Project Deposit

A collaborative project is only formally scheduled and accepted into the studio's production timeline once the initial consultation is complete.

  • To secure highly limited raw materials and initiate fabrication, a mandatory deposit of 50% of the total project price is required upfront.
  • This deposit is strictly non-refundable. It is utilized immediately to cover specialized initial expenses, raw material acquisition, and dedicated studio workshop hours. Should the client choose to terminate or withdraw from the collaboration at any point before completion, this deposit is entirely forfeited to compensate the studio for committed resources and lost production capacity.



5. Legal Capacity to Contract

Studio-SB creates high-value, investment-grade functional art. I strictly do not enter into contracts with individuals who lack full legal capacity under Swiss law.

  • Minors: Individuals under the age of 18 are prohibited from independently purchasing available studio works or initiating collaborations. Any contractual engagement involving a minor must be fully executed, signed, and financially guaranteed by a parent or authorized legal guardian who assumes full personal liability.
  • Incapacitated States: Individuals lacking the capacity of discernment (whether temporarily or permanently due to mental disability, cognitive impairment, or legal restrictions) cannot legally form a brief or purchase an item. A legally appointed representative must execute all aspects of the transaction.
  • The studio reserves the absolute right to cancel any order or void pending project schedules immediately if a transaction is attempted by an individual lacking legal capacity without verified guardian involvement.



6. Prices and Payment Terms

  • Currency: All prices are stated in Swiss Francs (CHF) and include the applicable statutory Value Added Tax (VAT).
  • Payment Methods: Pre-existing pieces must be paid in full via cash, Twint, or instant bank transfer upon handoff. Collaborative projects require a 50% bank transfer deposit upfront, with the remaining 50% balance due immediately upon final project completion prior to handover.



7. Handover, Collection, and Shipping Risk

  • Studio Pick-up (Preferred): Physical collection at the studio in Baar is the primary and preferred method of handover. This allows both parties to verify hardware adjustments and confirm the final fit.
  • Domestic Shipping Transfer: Shipping is highly exceptional and must be pre-arranged. If shipping within Switzerland is explicitly agreed upon, delivery occurs via Swiss Post to a verified physical address.
  • Transit Liability: The workshop operating model dictates that all transport risk passes entirely to the buyer the exact moment the package leaves the studio and is scanned by the carrier. Studio-SB assumes zero liability for transport delays, transit damage, or loss caused by the shipping company. In such events, the buyer must direct all claims to the carrier.
  • International Restrictions: Studio-SB does not offer international shipping (including the USA, Canada, and the EU). Foreign clients must arrange a physical studio pick-up.



8. Warranty, Quality, and Irreversible Damage

  • Natural Materials: Full-grain leather naturally exhibits individual characteristics such as small blemishes, dents, scratches, or natural irregularities. These are not defects; they are the physical signature of the material's unique life history.
  • Strict Exclusions from Warranty: Studio-SB creates objects designed to be aged and repaired, but they cannot outlast a total disregard for their physical boundaries. The warranty applies strictly to normal, proper usage. It explicitly excludes:
  1. Wear and tear from the natural aging process of organic materials.
  2. Damage from excessive, careless, or improper handling (e.g., severe structural tears in delicate weaves).
  3. Thermal or chemical shock (e.g., throwing a silk scarf into a washing machine at 60°C, which permanently shrinks the protein fibers and strips the luster).
  • Irreversible Accidents: At a certain point, careless handling or a severe accident makes a physical repair totally impossible, regardless of the material's initial quality. Furthermore, because raw material stocks are strictly limited, unique, and natural, matching an exact leather shade or piece for a replacement lining down the line may be impossible.
  • Reporting Obligation: Genuine defects in workmanship or hardware assembly must be reported within 7 days of studio collection or delivery receipt to qualify for a studio service or repair.



9. Complete Exclusion of the Right of Return

Because all items are either purchased face-to-face in the studio or custom-manufactured through a close artistic collaboration, there is absolutely no right of return, refund, or exchange for any completed sale or custom project once payment has changed hands or production has begun.



10. Final Provisions, Privacy & Severability

  • Artistic Integrity: The design process operates from a "closed world" perspective. The final form of the object emerges exclusively from the studio's creative process. Customer feedback is treated as a source of inspiration, but the studio does not accept direct stylistic interference or build-to-order deviations that compromise the final artistic outcome.
  • No-Tracking Privacy Policy: Studio-SB does not track your behavior, measure your clicks, or gather analytics and marketing metrics on this website. As far as the studio is aware, the only cookies used by this site are strictly functional ones required to keep the website loading and running properly. Your personal data is only collected if you voluntarily provide it for formal invoicing, tax documentation, and communication. All such data is treated with strict confidentiality in accordance with Swiss data privacy regulations.
  • Severability: Should any individual provision of these Terms and Conditions be found invalid or unenforceable under Swiss law, the remaining provisions shall remain fully unaffected and legally binding.


11. Place of Jurisdiction

The Cantonal Court of the Canton of Zug (6300 Zug) shall have jurisdiction over all claims related to the contractual relationship between the client and us. The court proceedings shall be conducted in German.

Because payments in the studio are completed via cash, Twint, or direct bank transfer, no credit card details or profiles via external online payment processors are collected or stored on this website.



3. Purpose of Data Processing

Your data is used strictly for the following purposes:

  • Communication regarding your project inquiries, scheduling appointments for the mandatory initial consultation, or availability of artwork.
  • Issuing legally compliant Swiss invoices and receipts.
  • Fulfilling statutory obligations (specifically the legally mandated retention period for corporate financial records under Swiss law).



4. Sharing of Data

Under no circumstances will your personal data be sold, rented, or passed on to third parties for advertising purposes. Data is only shared if it is strictly necessary for the physical acquisition of the object:



  • Shipping Providers: If a domestic delivery within Switzerland has exceptionally been agreed upon, your name and shipping address will be shared with Swiss Post.
  • Authorities: If a legal disclosure obligation exists under Swiss tax or corporate legislation.



5. Data Retention Period

I only store your data for as long as necessary for personal customer support or the execution of the art project. Beyond that, standard Swiss legal retention periods apply (typically 10 years for accounting records and invoices). After this period, the data is permanently deleted.



6. Hosting and Server Logfiles (Hosttech)

This website is hosted by the Swiss provider Hosttech. To ensure the secure and stable operation of the site, the provider automatically collects purely technical, non-personally identifiable data (such as browser type, operating system, anonymized IP addresses, and access times). This information is used solely for system security and anonymous statistics. No tracking of your personal browsing behavior takes place.



7. Your Rights

You have the right at any time:

  • To receive information about the personal data I store about you,
  • To request the correction of incorrect data,
  • To request the deletion of your data, provided no statutory retention obligations (such as the 10-year tax records law) prevent it.
